1. Acceptance of Terms

By accessing and using the Logidist Ltd website ("Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Site or services. These Terms constitute a legally binding agreement between you ("Client", "you", "your") and Logidist Ltd ("Company", "we", "us").

2. Services

Logidist Ltd provides secure logistics, transportation, and vault storage services ("Services"). The specific scope, terms, and pricing of Services are set out in individual service agreements or quotations provided to each Client. These general Terms apply in addition to any specific service agreement.

We reserve the right to modify, suspend, or discontinue any aspect of our Services with reasonable notice. We will make every effort to minimise disruption to existing clients.

3. Client Obligations

As a Client, you agree to:

Provide accurate, complete information about assets to be transported or stored
Declare the true value and nature of all items
Comply with all applicable laws and regulations regarding the items
Not submit prohibited items (illegal substances, weapons, hazardous materials) without proper authorization and documentation
Maintain accurate contact information and promptly notify us of changes
Make payments in accordance with the agreed payment schedule

4. Liability

Our liability for loss, damage, or delay to assets in our custody is governed by the specific insurance coverage agreed in your service contract. Subject to that:

We are liable for loss or damage caused by our negligence or wilful misconduct
We are not liable for loss or damage arising from circumstances beyond our reasonable control (force majeure), inherent vice of the goods, or inadequate packaging by the Client
Our total liability shall not exceed the insured value of the affected assets as declared and agreed at the time of deposit or shipment
We exclude liability for indirect, consequential, or special damages

5. Insurance

All assets stored in our vault facilities or transported by our services are covered by our comprehensive insurance policy, subject to the terms, conditions, and exclusions of the policy. Clients are provided with a certificate of insurance upon request. Additional insurance coverage can be arranged for high-value items at an additional premium.

6. Payment Terms

Fees for our Services are as quoted and agreed in writing. Unless otherwise specified, invoices are payable within 30 days of the invoice date. Late payments may attract interest at 4% per annum above the Bank of England base rate. We reserve the right to suspend Services for overdue accounts.

7. Termination

Either party may terminate a service agreement with 30 days' written notice. We may terminate immediately if the Client breaches these Terms, fails to pay, or provides false information. Upon termination, the Client must arrange collection of stored assets within 60 days. We reserve the right to charge continued storage fees during this period.

8. Intellectual Property

All content on our Site, including text, graphics, logos, images, and software, is the property of Logidist Ltd and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

9. Website Use

You agree to use our Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the Site. Unlawful or unauthorised use includes, but is not limited to, transmitting malware, attempting to gain unauthorised access to our systems, or overloading our infrastructure.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our Services following changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or prominent notice on our Site.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
